Well Lean Rewards Program Member Agreement

Terms & Conditions - Effective August 7th 2021

If you are a Well Lean account member, you authorize Well Lean, LLC and its affiliates (“Well Lean” “us” or “our”), to receive and exchange information about your account and you, so that you can receive the benefits of the Well Lean Rewards program, and so that Well Lean can inform you of additional information, offers and opportunities.

  1. INTRODUCING WELL LEAN REWARDS PROGRAM. The Well Lean  Rewards Program (“Program”) is a rewards program offered by Well Lean LLC, and its affiliates (“Well Lean”, “us” or “our'') in the United States. This Member Agreement, as well as all additional policies, terms and conditions referenced and incorporated throughout, all of which may be amended from time-to-time (collectively, the “Terms”), contain information about the relationship between you and Well Lean with respect to the Program and apply to you if: (1) you have created a Well Lean account through welllean.com; (2) you enrolled in the Program while shopping on welllean.com; or (3) you have otherwise been informed that you have been enrolled in the Program.
  2. GENERAL. By enrolling in, or otherwise participating in, the Program, you acknowledge that you have read, understood and unconditionally accept to be bound by the Terms. Well Lean LLC, reserves the right to modify these Terms, without further notice or compensation to you, and you waive any right to receive specific individual notice of such modifications. Any updates to these Terms will be effective immediately upon posting at https://www.welllean.com/pages/well-lean-rewards-program-member-agreement, and your continued participation in the Program constitutes your acceptance to such modifications. These Terms constitute a legally binding agreement between Well Lean LLC and each individual who enrolls or otherwise participates in the Program. Accordingly, you expressly represent and warrant that you are eligible for the Program (as described below) and will otherwise comply with these Terms 

III. ELIGIBILITY. The Program is only open to individual U.S. residents (excluding Guam, Puerto Rico, U.S. Virgin Islands and territories) of at least 16 years of age. If you are between 16 and the age of majority, you represent and warrant that you have obtained permission from your parent or legal guardian to be a member of the Program, and you expressly acknowledge that you may not be eligible for all Program benefits. Program  membership is available only to natural persons and the following are ineligible: corporations, businesses, non-profit organizations, governmental agencies or other entities and Well Lean may disqualify any such entity discovered to be in the Program.

  1. MEMBERSHIP.
    a. General.
    i. Eligible customers who enroll in the Program (referred to herein as “Member(s)” or “Well Lean Reward Members”) will each be assigned a unique rewards identifier (aka the email you used to create your Well Lean account) which will be associated with his or her membership account (“Well Lean Account”).
    ii. Each Member may only have one Well Lean Account.
    iii. Your membership is non transferable.
    iv. No purchase is required to become a Member.
    b. Enrollment.
    i. Enrollment Channels: Starting on or about  August 7th 2021, eligible customers may enroll in the Program through Well Lean’s website by clicking the rounded green gift shaped Rewards button on their mobile devices or desktop, which can be located on the bottom right part of your screen, or by creating a Well Lean Rewards Account at https://www.welllean.com/#smile-home , if you already have created a Well Lean account prior to August 7th you will automatically be enrolled in the Well Lean Rewards Program.
  2. Enrollment Process: For customers who are not automatically enrolled in the Well Lean Rewards Program, you may enroll through one of the channels described above. At the time of enrollment, you may need to provide certain information as requested, including without limitation, your name, phone number and email address, as well as the zip code corresponding to your U.S. residence mailing address, in order to successfully enroll in the Program. You will also be asked to confirm your agreement to these Terms.
  3. WELL POINTS EARNED.
    a. Well Lean Rewards Member. As a Member, you have the opportunity every day to earn Well Points on all Qualifying Purchases (defined below) made online on welllean.com as long as you identify yourself as a Member by; logging into your linked Well Lean Account on Welllean.com i. Qualifying Purchases: Qualifying purchases are calculated after all discounts are applied, before shipping, fees or tax is imposed ii. Well Lean Rewards Members Earn Rate: Members will earn Well Points at a rate of 5% of Qualifying Purchases every day.  iii. Previous transactions prior to Well Lean Rewards Program may not be redeemed to earn points on their previous transactions
    iii. Well Points Issued: The Well Points Balance is made available by logging into your Well Lean Rewards Program using the gift icon on the bottom right of WellLean.com. b. Well Point promotion. From time to time, Well Lean will have Well Point promotional events (“Well Point Promo”) during which ONLY Well Lean Rewards Members, are eligible to earn additional Well Points on Qualifying Purchases made in a single transaction during the stated promotion window (“Well Lean Point Promo”).
    c. Earning Well Points and Well Lean Point Redemption; Earning and Redemption of your Well Points are as follows; EARNING: For each $1 spent by a Well Lean Rewards Member on a transaction on welllean.com (not including taxes), that Well Lean Rewards Member will receive 5 Well Points towards their total Well Point Balance. REDEMPTION: For the Well Lean Rewards Member to be qualified to redeem their Well Points for a certain dollar amount off, the Well Lean Rewards Member must earn a MINIMUM of 500 Well Points, which would equal to $100 spent on WellLean.com. Only then can the customer redeem their Well Points. The Redemption Windows are as follows: Redeem 500 Well Points for $5 OFF; Redeem 1000 Well Points for $10 OFF, Redeem 2000 Well Points for $20 OFF; Redeem 5000 Well Points for $50 OFF; Redeem 10000 Well Points for $100 OFF. The Redemption Well Points earned on a transaction cannot be used within the same transaction it is earned on. Well Points themselves have no cash value. Well Points are only able to be redeemed, once they have reached the minimum redemption window of 500 points earned. Well Point’s are non transferable. Well Points terms are set forth on the points and are subject to change at any time.
  4. OTHER PROGRAM FEATURES & BENEFITS.
    a. Offers: Members may receive several special offers throughout a twelve (12)-month period. Offers are not guaranteed, but may include, but are not limited to, percent-off and dollar-off coupons.
    b. Limited Time Promotions: Well Lean may, in its sole discretion, run special limited time promotions available only to Well Lean Rewards Members, and/or select members within these groups.
    c. Other Benefits: Well Lean may, in its sole discretion, provide additional Program features and benefits to Members Well Lean account holders, whether made available for a limited time or on a consistent basis.


VII. WELL LEAN REWARDS ACCOUNT ACCESS & MEMBER COMMUNICATIONS.

You may access your Well Lean Rewards Account and view your membership activity and Well Point balance at https://www.welllean.com/#smile-home, and you may view the most current Program information and Terms, at https://www.welllean.com/pages/well-lean-rewards-program-member-agreement By enrolling or otherwise participating in the Program, you agree to receive transactional emails and promotional email offer updates from Well Lean. Members may unsubscribe from promotional emails at any time via the unsubscribe link in those emails; provided, however, if you unsubscribe from Well Lean emails, you may no longer receive those Program benefits which are distributed by email. VIII. PROGRAM MODIFICATION AND TERMINATION. The Program, its benefits, and the interpretation/application of its Terms are offered at the sole discretion of Well Lean LLC. Well Lean reserves the right to modify the Program and any of its terms, features or benefits at any time with or without notice to you (including without limitation, the rate at which Well Points can be earned). The Program has no predetermined termination date and may continue until such time as Well Lean elects, in its sole discretion, to terminate the Program. In addition, Well Lean reserves the right to add, remove, modify or otherwise change promotional opportunities at any time, in its sole discretion, with or without notice to Members.

  1. WELL LEAN ACCOUNT CLOSURE. Members who desire to close their Well Lean Account may do so by emailing us at contact@welllean.com In addition, Well Lean may close any Well Lean Account if a Member becomes ineligible at any time and/or if any of these Terms are violated, including if the Well Lean Account/Well Lean Rewards Account appears to be used for a commercial purpose such as re-sale, and/or if the Well Lean Account/Well Lean Rewards Account is otherwise associated with abusive or fraudulent activity. In the event of such Term(s) violation, Well Lean reserves the right to invalidate improperly awarded or issued Well Points and/or to close your Well Lean Account/Well Lean Rewards Account altogether.
    If your Well Lean Rewards Account is cancelled by you or Well Lean, your accumulated earned Well Point balance may be deactivated and invalidated.
  2. ADDITIONAL TERMS
    (a) License. Subject to these Terms, Well Lean hereby grants you a non-exclusive, non-transferable license (without the right to sublicense) for so long as you participate in the Program and adhere to these Terms, to access, participate in and use the Program services. You agree that you obtain no rights other than the rights and licenses expressly granted herein.
    (b) Entire Agreement . You agree to comply with terms and conditions of this Membership Agreement, as well as the terms and conditions of the following (all of which are referred to as “Terms” in Section II of this Membership Agreement): (i) Well Lean Privacy Policy (referenced below)
    (c) Privacy Policy . By enrolling or otherwise participating in the Program, you acknowledge and agree that the information you provide as a member of the Program will be released to Well Lean’s affiliates as well as third parties to carry out the Program on Well Lean’s behalf and will otherwise be handled in accordance with Well Lean’s Privacy Policy.
